Terms of Service

These Terms govern your use of the FirmEFlow service offered by MPRAM Business Advisors Private Limited (“FirmEFlow”, “we”). By creating an account or using the service, you agree to these Terms.

1. The service

FirmEFlow is a software-as-a-service practice management platform for professional services firms. We licence access to the platform for an agreed fee.

2. Your account

• You are responsible for your account credentials, your users, and your content.
• You must comply with all applicable laws including ICAI, SEBI, RBI and DPDP Act rules.
• Your users must be authorised employees, contractors, or partners of your firm.

3. Fees & billing

Fees are as per your chosen plan and as displayed on the pricing page or your sales order. Plans renew automatically unless cancelled. All fees exclude applicable taxes (GST).

4. Compliance content

Our compliance calendar and deadline reminders are provided as a tool to help your team stay organised — not a substitute for professional judgement. Always verify deadlines and statutory requirements with current law before acting. We disclaim liability for missed filings resulting from sole reliance on the platform's reminders.

5. Service availability

We target the SLA on your plan. Scheduled maintenance is communicated in advance. Refer to your Order Form for specific availability commitments.

6. Termination

You may cancel any time. We may suspend or terminate accounts that violate these Terms, infringe IP, or threaten the service's integrity. On termination, you can export your data for 30 days.

7. Liability

To the extent permitted by law, our total liability is capped at the fees you paid in the prior 12 months. We are not liable for indirect or consequential damages.

8. Governing law

Disputes are governed by the laws of India, with exclusive jurisdiction in the courts of New Delhi.
